Any changes to tnis agreement shall be made by means of a written modification. Changes dealiad with
administrative matters (such as change in party representative, changes of add; ess; etc. which have no
svbsiantive effect on the parties' nghts or obligatians) shall be made by the Grants and Cooperative
Agreements Officer and or the States upon the authorization of the par.ry or parties involved. Any .other
changes shall be made only upon direction of the Governanca Committee by modification which must be
signed by all parties to the agreement. No other written statement by any person anc no oral statement of
any person, shaia be allowed in any manner or degree tq mddify or otherwise affeCt the terms of this
agreement as they apply to the services of the Foundation.
p.2. TERMINATION FOR CAUSE
Termination for Cause. The Grants and Cooperative Agreemenu Officer and the States, after approval of
the Governance Committoe, may ierminate this agreement in whale or in part, at any time before the date
o; completion, whenever thc Governance Committee determines that the Foundation has failed to comply
with the terms or conditions of this agreement ar af a Wark Order issued pursuant to item B.I.
Reelamation and the States will promptly notify tha Foundarion in writing of the determination and the
reasons for the termination, together with the effective date. Any funds remaining in contribution
accouncs at the time cf such torminati4n, except ta the extant necessary to cover coss properiy incucred
prior to such termination, shail be returned to the applicabie parties,
03. TERMINATION FOR GONVENIENCE
The States and Reclamation may term'inate this agrecment in whole or in parc for convenience, when they
agree that the continuation of this agreement would not prcduce beneficial resulu. ln that event, the
parties shall negotiate the te,znina:ion conditions, including the effective dare a:id, in the case of partial
terminat:on, the por[ions to be ierininated. Any ;unds remaining in concribution accounis ac tlic :ime of
such termination, except to the ex:eni nccesSary to cover cosu properly incurred prior to such
termination, shall be returned to the applicab{e pa-:ies.
