Draft December 3, 2007 Agreement Page 4 of 9 • NEBRASKA COMMUNITY FOUNDATION and PRRIP The Foundation shall be responsible only for the financial aspects of TAT's relationship with the Governance Committee. Technical aspects of TAT's relationship with the Governance Committee will be the responsibility of the Programs's Executive Director's Office ar as directed. The Foundation, warking with PRRIP, will make the payments as provided in Section 8 of the agreement for approved work products within 30 days or a reasonable time as negotiated between parties. 6. Period of Performance. T'he period of performance of this agreement shall commence upon execution by both parties to this agreement and be completed not later than December 31, 2012 unless terminated sooner or extended by a written modification as provided herein. Continuance beyond year one will be mutually decided based on annual reviews of performance and contingencies of federal and state budgets and pursuant to the Program. 7. Comuensation. The parties have estimated the cost of providing support and development for year one at approximately $150,000 with each subsequent year amount based an assessment of performance and continuing need (generally estimated at -$100,000 but negotiated annually with a commitment to TAT by December 1). In accordance with FWS policy an administrative support • rate of 6% will be charged at billing. TAT will make a good faith effort to accomplish the work within that estimate, and it will promptly notify PPRIl' as soon as it appears that additional funding will be necessary to complete the project. TAT will not incur costs or request reimbursement above this stated cost level unless the agreement is first modified as provided herein. £S. Billins Procedures and Pavment Terms. Compensation to TAT for complete costs of the work performed in accordance with the approved scope of services during the billing cycle under this agreement upon receipt of an original invoice. FWS TAT through its National Business Center will submit invoices at least quarterly and not more frequent than monthly to PPRIP for actual work performed to the satisfaction of PRRIP under this agreement. Invoices shall consist of written requests for payment with appropriate documentation regarding hours and expenses to the Governance Committee's Executive Director's Office (address included below). The Executive Director of the Governance Committee upon receiving the bill will approve the bill and advise the Foundation of approval. I'ayment to FWS TAT for approved and completed work will be made by IPAC transfer initiated t>y the Foundation within 30 days of receipt of the invoice. 9. Modifications to the Agreement This Agreement, including scope of services and budget, may be modified by mutual agreement of the parties. Such modifications shall not be binding unless they are in writing and signed by personnel authorized to bind each of the parties. ?'??/?- ? 0 10. Termination.
