2.5 Te,~nination. This Agreement shall ternunate on the Agreement Termination Date or if such date is not a Business Day, on the next succeeding Business Day. Upon such termination, INC shall transfer to the order of CWCB any amounts not previously withdrawn hereunder, and any Collateral delivered pursuant to Article 4 hereof shall be returned to INC. 2.6 Acceptance of CWCB's Security Interest in the A~reement. INC understands that the Borrower has pledged and granted a lien in all of its right, title and interest in this Agreement and the Remaining Payments to CWCB as security for the obligations of the Borrower to CWCB pursuant to the Loan Contract. Notwithstanding anything else in the Agreement to the contrary, at Borrower's request and the extent pernutted by law, INC agrees to: (a) the assignment of this Agreement, the Remaining Payments and the Policy to CWCB by the Borrower; (b) only accept approvals, consents and other directions regarding Withdrawals to be given under this Agreem nt r B and not from the Borrower; (c) pay the Remaini ments due under this Agreement, and any other amounts which may be payable from time to t~ p uant to this Agreement only to the order of CWCB and not to the Bo~~nle e directs, and then only in such instance as CWCB directs; (d) make appropriate entries into its books and records so as to properly reflect the assignment, and the interests of CWCB in this Agreement and the Remaining Payments and the limitations upon the rights of the Bonower herein; (e) except as provided in Section 2.6(b) above, not amend, supplement, terminate, cancel, extend or otherwise change this Agreement or accept approvals, consents, or other directions to be given under the Agreement, without the prior written approval of CWCB and the Borrower; and (fl maintain effective the insurance policy attached hereto as Exhibit A until all payments required to be made under the Agreement have been made. Nothing in this Section shall ,make INC liable for any of the obligations of the Borrower under, or shall be deemed to constitute an assumption of the liabilities of the Borrower pursuant to the Loan Contract. Article 3. Deliverv of Policy. On or before the Investment Date, INC shall deliver or cause to be delivered to CWCB the Policy, a copy of which is attached hereto as Exhibit A. This document is incorporated into the contract b~ reference.
