"Investment Date" means December 5, 2002. "Policy" means the financial guaranty insurance policy issued by the Insurer, a copy of which is attached hereto as Exhibit A. "Remaining Payments" means as of any date those payments required under Exhibit B that have not yet been made, discounted at the Interest Rate. "Withdrawal" means the withdrawal pursuant to Section 2.2, of all or any portion of the Amounts Invested on a Withdrawal Date or the Agreement Termination Date. "Withdrawal Date" means (i) the dates set forth in Exhibit B attached hereto or (ii) any date on which monies are withdrawn under Article 4 or Section 5.2. Article 2. Investment. 2.1 Deliverv of Amounts Invested. On the Investment , orrower shall deliver the Amounts Invested ~ INC shall automatically pay Withdrawals to CWCB on the Withdrawal Dates and in the amounts shown on Exhibit B attached hereto. No other withdrawals of funds are . permitted throughout the term of this Agreement, other than pursuant to Article 4 or Article 5. in immediately available funds for th o. account as specified in Section 8.10(b) and IlVC shall accept the Amounts Inve t e Borrower. It is understood that, except as provided for in Section 2.4, INC will not se ep tely account for the Amounts Invested held hereunder. ~ 2.2 ithdrawal. 2.3 Transfers of Monies. Amounts Invested shall be transferred to INC on or before 11:00 a.m. New York Time on the Investment Date. Withdrawals shall be transferred to the order of CWCB by 3:00 p.m. New York Time on a Withdrawal Date. Such transfer shall be made to the accounts specified in Section 8.10(b) unless either party has designated another account in writing at least 5 Business Days prior to the date of the transfer. Any expenses incuned in connection with such transfers shall be borne by the transferor. 2.4 Monthly Reports bv INC. INC shall provide to the Bonower and to CWCB at the end of each month, reports setting forth the Available Amounts Invested, Withdrawal activity during the month and interest accrued during the month for the Fund.
