"Improvement(s)" shall mean any building, fence, wall or other structure; any exterior <br />addition to, or change or alteration to, any building, fence, wall or other structure; any landscap- <br />in� that would alter the natural flow of water. <br />"Lot" shaIl mean and refer to any plot of land shown upon any recorded subdivision map <br />of the Real Estate with the exception of any Common Areas. <br />"Membership Fee" shall mean and refer to a charge paid by the purchaser upon <br />applicaTion for membership, the amount and payment of which shall be determined by the Board <br />of Directors. A Membership Fee shall be required for each Lot acquired within the Club, subject <br />certain exemptions provided here2n. <br />"Non-Voting 1�Zembers" shall mean and refer to all Owners of a Lot who have not been <br />designated as the Voting Member for the Lot. <br />"O�vner" shall mean and refer to,the record owner, whether one or more persons or <br />entities, of the fee simple title to any Lot which is a part of the Property, but excluding those <br />having suc?: interest merely as security for the performance of an obligation. Owners shall be <br />Members of the Club. � <br />"Real Estate" or "Property" shall mean the real property described in Recital 1, above, <br />and such additional property as may be subsequently added, pursuant to authority set forth in this <br />Declaration, the Articles of Incorporation, and the Bylaws of the Community, together with all <br />easements, rights, and appurtenances thereto and the buildings and improvements erected or to <br />be erected thereon. <br />"Voting Member" shall mean and refer to the Owner who has been designated by all of <br />the Owners of a Lot as the Voting Member. The Voting Member shall register his or her address <br />with the Club and shall be the official representative of the Lot for purposes of castina votes, <br />receiving notices, and paying dues. <br />ARTICLE 3. MEMBERSHIP, VOTING <br />Section 3.1 MembershiD. Every person or entity who is a record owner of a Lot which <br />is subject to the Declaration shall be a Member of the Club. Membership shall be appurtenant to <br />and may not be separated from ownership of any Lot: Ownership of such Lot, approval of the <br />membership application, and payment of the Membership Fee shall be the sole qualifications for <br />membership. � . <br />Section 3.2 Classes of Members. There shall be two classes of inembers: Voting <br />Members and Non-Voting Members. Non-Voting Members shall have all of the rights, duties, <br />powers, privileges and obligations of the Voting Members except that Non-Voting Members <br />shall not have the right to vote on issues coming before the membership except as the duly <br />authorized proxy of a Voting Member. <br />Each Lot shall designate one Voting Member who shall have the power to cast any votes on <br />matters coming before the membership, who shall be tl�� designated representative of the Lot to <br />receive notices and bills for dues.
