<br />4 <br /> <br />.1 <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br />I <br /> <br />e. present the annual maintenance requirements, the annual budget, and the year's <br />assessments to the Membe~ at the Annual Meeting; <br />f, inspect the Pipeline periodically; <br />g. arrange for any special Pipeline maintenance; <br />h. recommend any necessary special improvements and required special assessments, <br />1. appoint or hire (if allowance is made in the budget) a ditch boss, if required; <br />J. define the physical labor tasks that can be peIformed by ditch members and set <br />compensation rates and dollar limits. All physical labor must be recorded and <br />documented. <br /> <br />Article V: Officers and their Duties <br /> <br />Section 1: Officers. <br /> <br />The officers of the Association shall consist of a President, a Vice President, a Secretary <br />and a Treasurer elected at the Annual Association meeting, as discussed in article VI, for <br />tenus of one (1) year or until their successors are elected. <br /> <br />The Members may remove an officer for cause by consensus. Or failing that, two-thirds <br />of the viable votes of the Members, provided the major issue of removal was included in <br />a proper Meeting notice. <br /> <br />Section 2: President. <br /> <br />The President, an Association Member, shall be the chief executive of the Association. <br />The President shall: <br /> <br />a, arrange for all Association and Board meetings and their location; <br />b. prepare all meeting agendas; <br />c. sign all official papers and documents of the Association; <br />d. preside at Meetings of the Members and of the Board; <br />e. call any necessary special Association and/or Board Meetings; <br />f. arrange for a Meeting place for each Meeting; <br />g. with the aid of the other officers and Board members, check the Pipeline periodically <br />during the irrigation season and arrange for any special maintenance; and <br />h. attend to such other duties as the Members may authorize. <br /> <br />Section 3: Secretary. <br /> <br />The Secretary, who shall be an Association Member, shall: <br /> <br />a. keep a record of the proceedings of the Association; <br />b. maintain Association administrative and historical records; <br />c, prepare and send out all Association correspondence; <br />d. maintain the Association mailing list and maintain records of the number of shares <br />owned by each shareholder; <br />
