Section 2: The votes of Members in the Association are based on their water rights.
Each 0.01 c.f.s, of decreed water in the Pipeline owned by a Member shall entitle the
member to one vote ad Association Meetings provided the member is in good standing
as provided in Article VII, Section 2 Delinquent Assessments.

Members shall have the number of votes in the Association set for the below:

Each numbered statement of water rights ownership above represents one "Ownership"
and one "Membership."

Section 3: The Members recognize that all water priorities are based on Priority 8 water
rights.

Section 4: To entitle a Member to participate in decision making at an Association
Member Meeting, a transfer of water right must be completed at least three days prior to
the time of the Meeting.

Section 5: Each Member shall designate in writing annually to the Secretary of the
Association the names of the person(s), not listed as part of the Member's ownership
above, who may participate in decision making or cast a vote for that Member.

Section 6: Sale and use of the Pipeline Water for use Within the Pipeline.

a. Without any Association approval, the water rights of Members may be sold together
with the property or a portion thereof on which rights in the Pipeline have been used
directly from the Pipeline.

b. A Member selling water rights in the Ditch shall provide the Secretary with a copy of
documents specifying how the Member's water rights and pipeline obligations will be
apportioned among the new owners. The selling Member shall be responsible for
providing the buyer with a copy of the Association's By-laws and for providing the
Secretary with a letter acknowledging that the new owners have read, understand, and
agree to abide by the Association's By-laws prior to taking water from the Pipeline. Any
