Zadel, General Manager <br />2235 2nd Avenue <br />Greeley, CO 80631 <br /> <br />Rod Kuharich <br />CWCB Director <br /> <br />Dan McAuliffe <br />Deputy Director <br /> <br />Subject: Loan Contract C150209 <br /> <br />Dear Mr. Zadel: <br /> <br />Enclosed for review are the documents for Contract C150209 for the $4,994,955 loan from the <br />Colorado Water Conservation Board to construct the Dry Creek Reservoir located in Larimer <br />County. The construction is undertaken with the Little Thompson Water District in a 50/50 <br />partnership. <br /> <br />The enclosed contract documents consist of the loan contract, project summary (appendix 1), <br />promissory note (appendix 2), board resolution placeholder (appendix 3), and security agreement <br />(appendix 4). <br /> <br />If the District is satisfied with the enclosed documents, these documents are suitable for signing. <br />The president must sign each document (four original copies of the contract, and one copy each <br />of the promissory note, security agreement and deed of trust) where indicated by a "sign here" <br />sticker, and the corporate secretary must attest all of the signatures. <br /> <br />The following will need to be addressed during the contracting process. <br /> <br />1. Attorney Opinion Letter. The company's attorney must provide an opinion letter pursuant to <br />Paragraph A. 7 of the loan contract. A packet of information (copies of approval letter and <br />board memo, this letter and contract documents) has been sent to the District's attorney. <br /> <br />2. Existing Debt. The Company must provide proof of parity in accordance with provisions in <br />the Company's existing bonds and loans. This date of this certificate will be inserted in <br />Section 5 of the Project Summary (appendix 1) <br /> <br />3. Resolution. Pursuant to contract provision A.6 (page 2), the District's board of directors <br />must adopt a resolution to authorize the District to enter into this contract, to perform and <br />observe all of the contractual terms, conditions ,md obligations, and to pledge assessment <br />
