Section 6. Seal of the District The seal of the District shall bear the name of the District. The form shall be determined by resolution of the Board. Section 7. Office of the District The office of the District shall be located within the boundaries of the District. The District may also have offices and maintenance facilities at such other place or places within the District as it may from time to time designate by resolution. ARTICLE IT - OFFICERS Section 1. Officers The Officers of the District shall be a President, Vice-President, Secretary-Treasurer, Manager and such other officers as may from time to time be elected or appointed by the Board. The President, Vice-President and Secretary-Treasurer shall be elected at the first regular meeting ip. even numbered years, Each such elected officer shall hold office during the next two calendar years or until his successor shall have been elected and qualified for the office. Such elected officers shall be members of the Board. The Manager shall be appointed by resolution of the District, and shall serve at the pleasure of the Board. Section 2. President It shall be the duty of the President to preside at all meetings of the Board, to sign all papers, contracts and other instruments of writing authorized by the Board for his/her signature. He/she shall sign the.:!;, board approved minutes of all meetings over which he/she shall preside. He/she shall have general supervision over the affairs of the district and perform such other duties as may be required of him/her by law, by these bylaws and by the Board. ' Section 3. Vice-President It shall be the duty of the Vice-President to preside over all meetings of the District in the absence of the . President. He/she shall perform the duties of the President in the event the office of the President becomes vacant or in the event the President advises the Vice-President that he/she is unable to perform the duties of their respective office by reason of illness, disability or other incapacity. The President shall resume his/her duties upon notification to the Vice-President. Section 4. Secretary-Treasurer The Secretary-Treasurer shall supervise the taking of minutes of the proceedings of all meetings of the District. He/she shall record all votes and proceedings in a journal; and shall maintain a record of all resolutions presented to the District, and shall be custodian of the funds, (as provided for herein, Article V, Section 4), securities, valuable papers and documents connected with and pertaining to properties and business of the District. The Secretary-Treasurer shall be the chief financial officer of the District. He/she shall furnish to the Board statements of financial condition on a monthly basis. Any or all of the duties of the Secretary-Treasurer may be delegated to other officers or employees of the District at the discretion of the Board. Section 5. Mana~er The Manager under the direction of the President, shall be the chief executive officer of the District, and shall have general supervision over and be in charge of all of the activities of the District. He/she shall; perform all the duties incident to his/her position and office. The Manager shall be the chief Budget & Planning, Public Relations and Information, Personnel, Operation, Maintenance and Replacement Officer of the District, The Manager shall serve as the deputy Secretary-Treasurer, as provided for in I I Page 2 OWeD Bylaws
