<br />Section 6. Seal of the District <br />The seal of the District shall bear the name of the District. The form shall be determined by resolution of <br />the Board. <br /> <br />Section 7. Office of the District <br />The office of the District shall be located within the boundaries of the District. The District may also <br />have offices and maintenance facilities at such other place or places within the District as it may from <br />time to time designate by resolution. <br /> <br />ARTICLE IT - OFFICERS <br /> <br />Section 1. Officers <br />The Officers of the District shall be a President, Vice-President, Secretary-Treasurer, Manager and such <br />other officers as may from time to time be elected or appointed by the Board. <br /> <br />The President, Vice-President and Secretary-Treasurer shall be elected at the first regular meeting ip. <br />even numbered years, Each such elected officer shall hold office during the next two calendar years or <br />until his successor shall have been elected and qualified for the office. <br /> <br />Such elected officers shall be members of the Board. <br /> <br />The Manager shall be appointed by resolution of the District, and shall serve at the pleasure of the <br />Board. <br /> <br />Section 2. President <br />It shall be the duty of the President to preside at all meetings of the Board, to sign all papers, contracts <br />and other instruments of writing authorized by the Board for his/her signature. He/she shall sign the.:!;, <br />board approved minutes of all meetings over which he/she shall preside. He/she shall have general <br />supervision over the affairs of the district and perform such other duties as may be required of him/her <br />by law, by these bylaws and by the Board. ' <br /> <br />Section 3. Vice-President <br />It shall be the duty of the Vice-President to preside over all meetings of the District in the absence of the <br />. President. He/she shall perform the duties of the President in the event the office of the President <br />becomes vacant or in the event the President advises the Vice-President that he/she is unable to perform <br />the duties of their respective office by reason of illness, disability or other incapacity. The President <br />shall resume his/her duties upon notification to the Vice-President. <br /> <br />Section 4. Secretary-Treasurer <br />The Secretary-Treasurer shall supervise the taking of minutes of the proceedings of all meetings of the <br />District. He/she shall record all votes and proceedings in a journal; and shall maintain a record of all <br />resolutions presented to the District, and shall be custodian of the funds, (as provided for herein, Article <br />V, Section 4), securities, valuable papers and documents connected with and pertaining to properties <br />and business of the District. The Secretary-Treasurer shall be the chief financial officer of the District. <br />He/she shall furnish to the Board statements of financial condition on a monthly basis. Any or all of the <br />duties of the Secretary-Treasurer may be delegated to other officers or employees of the District at the <br />discretion of the Board. <br /> <br />Section 5. Mana~er <br />The Manager under the direction of the President, shall be the chief executive officer of the District, and <br />shall have general supervision over and be in charge of all of the activities of the District. He/she shall; <br />perform all the duties incident to his/her position and office. The Manager shall be the chief Budget & <br />Planning, Public Relations and Information, Personnel, Operation, Maintenance and Replacement <br />Officer of the District, The Manager shall serve as the deputy Secretary-Treasurer, as provided for in <br />I <br />I Page 2 OWeD Bylaws <br />
