<br />JOHNSON AND EDWARDS DITCH COMPNY

<br />The undersigned persons acting as incorporators of a
<br />corporation under the Colorado Nonprofit Corporation Act,
<br />
<br />signed and acknowledged the following acticles of incoporation
<br />for such corporation.
<br />
<br />FIRST: The name of the corporation is The Johnson
<br />
<br />and Edwards Ditch Company.
<br />SECOND: The period of duration is perpetual.
<br />
<br />THIRD: The purposes for which said company is formed
<br />
<br />and incorporated are and shall be:
<br />
<br />1st. "To acquire by proper coveyances, all the rights,
<br />
<br />title, interest, privileges, appropriations of water, rights
<br />
<br />of way, powers and franchises, w,hich ,the owners of the
<br />
<br />Johnson and' Edwards Ditch have or had, in, to, over and
<br />
<br />concerning those certain irrigating c,anals, "known and called,
<br />
<br />the Johnson and Edwards Ditch, now situated in the Counties
<br />
<br />of Morgan and washington in the State of Colorado, the same
<br />being two irrigating ditches constructed in the years 1872
<br />
<br />and 1886 by Bruce F. Johnson and William H. Edwards, also
<br />
<br />all head-gates, waste-gates, flumes, sand-chutes, bridges,
<br />
<br />
<br />-- dams, dikes, lateral and branch ditches, in any way connected
<br />
<br />
<br />with or appurtenant to such irrigating canals.
<br />
<br />
<br />2nd. To operate, construct, superintend, maintain and
<br />
<br />keep in repair said ditches with their branches and appurtenances,
<br />
<br />as irrigation ditches for conveying and supplying water for
<br />
<br />the irrigation of lands, and for domestic uses incidental to
<br />
<br />irrigation, to the stockholders of our said Company, and to
<br />
<br />
<br />all and every such person or persons and bodies corporate
<br />
<br />and to them only, their heirs, succeSsors or assigns, who,
<br />
<br />by conveyances, deed, contracts or otherwise, have hertofore
<br />
<br />1.
