<br />Larry Moore: I think that's a good idea, education is going to be an expensive process. I think
<br />it's a great suggestion. I support that.

<br />Dave Giger: Do you have a written job description? It's kind of fuzzy.

<br />McCloud - we do have a written job description, for all three of them. The recreation one is
<br />more of a concept than a reality.
<br />
<br />Giger: if we could get those it would help.
<br />
<br />Rick: It's just if there is a way to somehow spend a little less money in doing it. . . not
<br />confrontational.
<br />
<br />Jeff Shoemaker: Western Mutual Ditch is the poor church mouse. Frank Erkhart was in DC
<br />with us. I don't know where Frank got money to participate in 2007, Frank has said the
<br />likelihood of participating in 2008 is not very strong. Urge the group not to allow Western
<br />Mutual not to be a participant, they need water desperately. But important to do the math and
<br />not put too much strength in paying the amount of money you have here. Other thing, give you
<br />2007 as an experience, as you participate in coming months, will plead with you to be more
<br />aggressive and energetic at remitting your invoices and related checks into the funds.

<br />Rick: Then there is a third component - has to do with contracting. Talking about whether it
<br />makes sense for the project and participants to form some kind of entity, authority, for
<br />progressing on this project from this moment on, and in the future forever, how we as a group
<br />interact with each other, make decisions, funding, etc., whatever that is that keeps tying us
<br />together, with the Corps and CWCB, we are going to working together in this boat in some form
<br />forever, funding, operations, costs, O&M, EIS,. So the idea of forming part of an authority, here
<br />we talk and make decisions, but no authority. Board of directors, ways to make decisions, voting
<br />on things.. . Austin is here because he is an attorney. So contracting, forming authority, escrow
<br />management, decision makings, is there something we could do this better? Formation of
<br />something, what is that something, and how would it work? Memo, talking about this, talking
<br />with Vaughn on how this would work, still working on this, early on this, goal is trying to come
<br />to group with decision on what we should do, within a month, or maybe form this by the end of
<br />the year. Ifwe weren't going to have a long future relationship, maybe wouldn't have to do this,
<br />but makes sense to do it, and maybe do it sooner.

<br />Shane Madson: Could we get a copy of the memo?

<br />McAuliffe: That decision is for the group to make. With CWCB, with individual entities, like
<br />Western Mutual as example, entities that sign with CWCB to cost-share, they are in. If they
<br />decide to form an entity, and Western Mutual says can't afford it, they are still in.
<br />
<br />Lisa Darling: It is to simplify, and give comfort. Gives the group someone to represent us.
