MOTION TO APPROVE STIPULATIONS AND 'ENTER
FINDINGS OF FACT, JUDGMENT AND DECREE OF THE WATER COURT

The Applicant, the Colorado Water Conservation Board ("CWCB") through its
undersigned counsel moves this Court to approve the Stipulations entered into with
objectors, the Robert and Elaine Gay Family LLP and the Upper Yampa Water
Conservancy District, and to enter the attached Findings of Fact, Judgment and Decree of
the Water Court. As grounds therefor, the CWCB states as follows:

1. The Robert and Elaine Gay Family LLP and the Upper Yampa Water
Conservancy District are the only objectors to this case.

2. The CWCB and the Robert and Elaine Gay Family LLP entered into a
Stipulation dated August 25,2003; and the CWCB and the Upper Yampa Water
Conservancy District entered into a Stipulation dated September 8, 2003, which resolved
the disputed issues between the parties. The Stipulations are attached hereto.

3. Approval of the Stipulations between the CWCB and the objectors:, the
Robert and Elaine Gay Family LLP and the Upper Yampa Water Conservancy District
will facilitate an efficient resolution of this matter.
