If Additional Services are requested by OWNER and agreed to by ADP, and if an <br />alternative method of compensation is not adopted by the parties in a written instrument <br />regarding such Additional Services, OWNER shall pay ADP for such Additional <br />Services, as follows: <br /> <br />1. For Additional Services of ADP's principals and employees engaged <br />directly on the Project, ADP shall be compensated according to the applicable hourly <br />rates set forth in Exhibit D. <br /> <br />2. For services and Reimbursable Expenses of independent professional <br />associates and consultants employed by ADP to render Additional Services, ADP's <br />compensation shall be the amount billed to ADP therefor times a factor of 1.10. <br /> <br />3. For services rendered by ADP's principals and employees as consultants <br />or witnesses in any litigation, arbitration or other Il~gal or administrative proceeding, will <br />be on the basis provided in paragraph 1. Compensation for ADP's independent <br />professional associates and consultants will be on the basis provided in paragraph 2. <br /> <br />C-1 <br />
