Ten (10) percent ,ofthe fee will be withheld UI~til the <br />final report is delivered. <br />ENGINEER shall, for all billings, keep work andl cost records as will permit any <br />comparison with required progress charts (Item 10) on such forms and in such a <br />manner as will be salisfactory to DISTRICT. <br />10. OWNERSHIP OF DATA <br />The ownership of data, drawings, and informaticln acquired, collected and <br />documented uncleI' this Agreement shall at the option of DISTRICT, be vestltd solely <br />with DISTRICT. A total of one hundred (100) c:opies of the completed report shall <br />be furnished to DISTRICT for further distributieln. ENGINEER shall obtai~1 the <br />negatives of the reduced drawings and provide them to DISTRICT. <br />11. TERMINATION OF AGREEMENT <br />This Agreement may be terminated by DISTRICT or ENGINEER upon 5eV1!D days' <br />written notice. In the event of termination, EN(jINEER shall be paid for selviccs <br />performed as mutually agreed upon and d~termil'ed by DISTRICT and ENGINEER, <br />to termination date. <br />12. CHANGES <br />DISTRICT may, from time to time, request changes in the scope of services of <br />ENGINEER. Such changes, including any increase or decrease in the amoulllt of <br />ENGINEER's compensation, shall be incorporated in written amendmentS t(1 this <br />Agreement. <br />13. INSURANCE <br />During the performance of the work defined by 11his Agreement, the ENGINEER, <br />acting as an independent contractor, shall be solc~ly responsible for procurins: and <br />k~eping in full forc:e and effect the insurance listc~d below: <br />!n.ml:iI-'l~ Minimum Limits <br />A. ENGlNIffiR shall <br />evaluate his own needs regarding higher levels of insurance. <br />Except for Professional Liability insurance, each type of insurance procured by <br />ENGINEER shall provide coverage for all claims arising out of, or in connec:tiorl <br />with, any operations, work, or services performE~ under this Agreement by <br />ENGINEER, his employees, sub consultants, subcontractors, agentS, or <br />representatives. ENGINEER's Professional Liability insurance shall provide coverage <br />for claims arising out of the negligent acts, errors and omissions of me ENGINEER in <br />the performance of its services under this Agreement.
