Consultant: Camp, Dresser, & McKee Agency: CWCB <br />Agreement No. C154 ___ Agency No. PDA <br />Amount: $ 50,000.00 Routing No. 06 PDA _______ <br /> <br />CONSULTANT AGREEMENT <br /> THIS AGREEMENT <br /> made this ____ day of _______ , 2006 by and between the State of <br />Colorado, acting b y and through the Colorado Water Conservation Board of the Department of <br />Natural Resources, 1313 Sherman Street, Suite 721, Denver, CO 80203, hereinafter called the <br />CWCB or State, and Camp, Dresser, & McKee , Inc. , referred to as the Consultant or Contracto r. <br />Factual Recitals <br /> <br />1. Authority exists in the law, and funds have been budgeted, appropriated, and otherwise made <br />available, and a sufficient unencumbered balance thereof remains available for payment in. <br />2. Required approval, clearance and coordination have been accomplished from and with <br />appropriate agencies. <br />3. The Consultant was selected, and fees negotiated in accordance with the provisions of Section <br />24 - 30 - 1407 , et. seq. C.R.S. as amended. <br /> NOW THEREFORE <br />, it is hereby agreed that <br />ARTICLE 1. SCOPE OF WORK <br />The consultant shall provide professional services for the interbasin compact meetings that were <br />established in HB - 1177. The contractor will provide information that was developed with the <br />Statewide Water Supply Initiative. The complete scope of wor k is attached as Exhibit A of this <br />contract. <br /> <br />ARTICLE 2 . COMPENSATION <br /> <br />In consideration for the performance of the said work and services, the CWCB agrees to pay to <br />Consultant fees and charges not to exceed Fifty Thousand Dollars $50,000 . During the term o f this <br />Agreement, the CWCB shall make monthly partial payments based on the Consultant’s billings. <br />The amounts of all such partial payments shall be based upon the Consultant’s certified progress <br /> <br />reports and billings covering the status of the Work. <br />AR TICL E 3. CONSULTANT CERTIFICATION <br /> <br />In accordance with Section 24 - 30 - 1404(1), C.R.S., the Consultant has executed a certificate, which <br />Exhibit C Exhibit B <br />is attached hereto and made a part hereof as , stating that wage rates ( ), and <br />other factual unit costs s upporting the compensation paid by the CWCB for these professional <br />services are accurate, complete, and current. The original Agreement price and any additions <br />thereto shall be adjusted to exclude any significant sums by which the CWCB determines the <br />Agre ement price has been increased due to inaccurate, incomplete, or non - current wage rates and <br />other factual unit costs. All such adjustments shall be made within one year following the end of this <br />Agreement. <br />ARTICLE 4 . AGREEMENT EXPIRATION <br /> <br />Unless sooner ter minated, this Agreement shall remain i n effect until June 30, 2006 . <br />ARTICLE 5 . CONTINGENT FEE PROHIBITION <br />In accordance with Section 24 - 30 - 1404(4), C.R.S., the Consultant warrants that he has not <br />employed or retained any company or person other than a bo na fide employee working solely for <br />Page 1 of 16 Pages <br />
