<br />In any and all claims against the indemnified parties by any employee of the
<br />CONTRACTOR, any subcontractor, any supplier, anyone directly or indirectly
<br />employed by any of them or anyone for whose acts any of them may be liable, the
<br />indemnification obligation under this article on indemnification shall not be limited
<br />in any way or any limitation on the amount or type of damages, compensation, or
<br />benefits payable, by or for the CONTRACTOR; or any subcontractor, or any
<br />supplier, or other persons under worker's compensation acts, disability benefit acts,
<br />or other employee acts.

<br />The obligations of the CONTRACTOR under the first and fourth paragraphs in this
<br />article on indemnification shall not extend to the liability of the ENGINEER, the
<br />OWNER's Representative, and their consultants, and each of their directors, officers,
<br />employees, and agents, arising out of or resulting from or in connection with the
<br />preparation or approval of maps, drawings, opinions, reports, surveys, designs or
<br />specifications, providing that the foregoing was the sole and exclusive cause of the
<br />loss, damages, or injury.

<br />The CONTRACTOR shall also indemnify and hold harmless the DISTRICT, the
<br />ENGINEER, the DISTRICT's Representative, and those local governments wherein
<br />WORK will be performed, and each of their directors, officers, employees, and
<br />agents from and against all losses, expenses, damages including damages in the
<br />WORK itself, attorneys' fees, and other costs, including all costs of defense, which
<br />any of them may incur with respect to the failure, neglect, or refusal of
<br />CONTRACTOR to faithfully perform the work and all of the CONTRACTOR's
<br />obligation under the CONTRACT. Such costs, expenses, and damages shall include
<br />all cost, including attorneys' fees, incurred by the indemnified parties in any lawsuit
<br />in which they are a party.

<br />GOVERNMENTAL LAWS. RULES AND REGULATIONS

<br />A.
<br />
<br />General
<br />
<br />CONTRACTOR and its subcontractors at all times shall be subject to and shall
<br />comply fully with all governmental laws, rules, and regulations which are now or
<br />may become applicable to any WORK covered by this Contract or arise out of the
<br />performance of such WORK.
<br />
<br />This Contract shall be governed by the laws of the State of Colorado and the United States
<br />and the local government where the WORK is being accomplished. CONTRACTOR shall
<br />be responsible to acquire all licenses, permits and authorizations required to perform the
<br />WORK unless otherwise provided by the DISTRICT.
