Colorado Basin Roundtable / Interbasin Compact Committee
Notes from Meeting on December 12, 2005

1. Approve Agenda

2. Approve minutes from November 14, 2005

Minutes not received by attendees. Minutes will need to be approved at next meeting.

3. Review Membership List

Mr. Merritt asked if anyone else was not receiving Dave Merritt's e-mails except Clay? There is
a copy of the membership list in the back for folks to pick up. List will also be updated and
distributed.
Wayne Shoemaker asked that "Toponas" be spelled correctly on DNR website.

4. Discuss / Approve Bylaws

Stan Cazier said we had a debate last time about this, but asked, first of all, "Do we start from
scratch?" Also, "What is the function of the Bylaws?" What we have today is the basic set, and
some comments, and then Rose Ann Sullivan's comments.

The Bylaws were then reviewed section by section.

Article I - Name and Purpose/Mission: Suggestion from Greg Trainor at end of first page....
"Simplify Bylaws ..." Stan Cazier suggested we keep moving on. General assent.

Article II - Goals and Objectives: Mark Fuller's comments were strictly a matter of better
wording. Mr. Fuller likes idea of the Goals and Objectives being stated in an active sense, and
thinks we ought to be more direct in the language. Stan Cazier: Does anybody object to re-
wording it as Mark Fuller proposes? No objections. Changes accepted.

Tom Clark wants additions to the Goals and Objectives, i.e., to rephrase or add to comments so if
things come up in the future the Committee can be prepared and authorized by the Bylaws to
proceed. He also suggested that bullets be added.

Article III - Definitions: Stays the same.

Article IV - Roundtable Membership, Section 5. - Annual Meeting: Only written comment on
this section is from Lurline Curran. Annual meeting should be at same time period every year
and early in the session so would have whole session to work on things. Change time of meeting
for logistics purposes. Mark Fuller wanted to know of rationale for September date. Stan Cazier
