These minutes shall be archived and available for public review at the office of the Direct or of Compacts in the office of the Executive D irector of the Department of Natural th Resources of the State of Colorado, 131 Sherman Street, 7 Floor, Denver, CO. Section 7 . Quorum . A quorum is necessary to take a vote on any matter. The quorum is determined at the inception of any meeting and on ce a quorum is determined , members leaving the meeting before adjournment cannot d estroy the quorum at that meeting. A majority of the total membership of the Roundtable shall constitute a quorum at the annual meeting. All other meetings have a quorum of one third of the total membership. I f a quorum shall not be present at any meeting a majority of the m embers present may adjourn the meeting without further notice. Section 8 . Subcommittees, Sub - Roundtables, or Other Mechanisms . The r oundtable shall have the ability to establish permanent or temporary subcommittees, sub - roundtables or other mechanisms to facilitate dialogue and resolution of issues and conflicts within the Roundtable area. Section 9 . Vacancies . T he same body that made the origin al appointment according to the statutory scheme designed by The Colorado Water for the 21st Century shall fill any vacancy occurring in the membership . Section 10 . Compensation . The Members shall receive no compensation for their service as a Member t o the Roundtable. However, nothing will preclude a Member from receiving reimbursement from the Roundtable for actual expenses incurred and incident to the performance of their duties as authorized by the Roundtable. Section 1 1 . Rule of Conduct . The Ro undtable may adopt by resolution such rules of order for the conduct of business as are appropriate and which are consistent with these Bylaws and state law.
