Amended and Restated Articles of Incorporation were filed by the Colorado Secretary of State for
The Model Land & Irrigation Company on July 17, 2000, pursuant to delivery for filing by the undersigned
(the "Original Amended and Restated Articles of Incorporation"). The Original Amended and Restated
Articles ofIncorporation were incorrect in the folJowing two respects: (l) They failed to utilize the correct
section numbering system and (2) they contained a misspelling of the undersigned's name under the
signature line for his acceptance of service as registered agent for the Corporation. Pursuant to
Section 7-101-205 of the Colorado Business Corporation Act, the undersigned accordingly corrects the
Original Amended and Restated Articles ofIncorporation of The Model Land & Irrigation Company to read,
in their entirety, as set forth below, the only changes from the prior filing being to make the foregoing
described corrections.

The Model Land & Irrigation Company, an entity that was incorporated under Colorado law on
May 25, 1908, and which, as such bears the Colorado Secretary of State entity identification number
DN 0047243, and which was converted to a ditch company that is subject to the Colorado Business
Corporation Act on July 17, 2000, hereby amends and restates its articles of incorporation, pursuant to
97-110-107 to read, in their entirety, as follows:

ARTICLE I
NAME

The name of the Corporation is The Model Land & Irrigation Company.

ARTICLE n
AUTHORIZED CAPITAL

The Corporation shall have authority to issue 20,000 shares, of the par value of $100.00 each,
designated "common stock".

ARTICLEID
OFFICES

3.1. The street address of the registered office of the Corporation is 2639 Delaugua, Trinidad,
Colorado 81082, and the name of the registered agent at that address is R.B. lowell. The written consent of
the initial registered agent to the appointment as such is stated below.
