<br />The Model Land & Irrigation Company, an entity that was incorporated under Colorado law on May 25, 1908,
<br />and which, as such bears the Colorado Secretary of State entity identification number DN 0 47243, and which was
<br />converted to a ditch company that is subject to the Colorado Business Corporation Act on ,2000,
<br />hereby amends and restates its articles of incorporation, pursuant to ~ 7-110-107 to read,' the' ntirety, as follows:

<br />The name of the Corporation is The Model Land & Irrigation Company.
<br />
<br />The Corporation shall have authority to issue 20,000 shares, of the par value of $100.00 each, designated
<br />"common stock".

<br />ARTICLE 3.
<br />OFFICES
<br />
<br />a. The street address of the registered office of the Corporation is 2639 Delaugua, Trinidad,
<br />Colorado 81082, and the name of the registered agent at that address is R.B. Jowell. The written
<br />consent of the initial registered agent to the appointment as such is stated below.

<br />b. The address of the Corporation's principal office is 2639 Delaugua, Trinidad, Colorado
<br />81082.

<br />ARTICLE 4.
<br />PURPOSES
<br />
<br />a.. The purposes for which the Corporation is organized are as follows:
<br />
<br />i.. To own, hold, constitute, operate, maintain, control, and manage the canal and reservoir
<br />system hereinafter described;
<br />
<br />ii.. To divert, appropriate, and acquire water for irrigation, domestic, and manufacturing purposes
<br />from ~he Purgatoire River, also known as the Las Animas River, the Leitensdorfer arroyo, the Chicosa arroyo
<br />and other arroyos and daws tributary to the said Las Animas River; to store said water In reservoirs, basins, and
<br />other places; to carry, convey, and distribute said water to the lands lying under said canal and reservoir system,
<br />through and by means of canals, ditches, laterals, pipe lines, conduits, and other devices. The said canal and
<br />reservoir system being more particularly described as follows:

<br />The headgate is located on the North bank of the Purgatoire River in Section 33, Township
<br />31 South of Range 63 West of the Sixth Principal Meridian, Las Animas County, Colorado, from
<br />whence the intake ditch runs in a general Northeasterly direction through townships 32 and 31 South
<br />of Range 63 West, to the reservoir hereinafter referred to, thence on in a general Northeasterly
<br />direction through townships 31 South of Range 62 West and Township 31 and 30 South of Range 61
<br />West. all in Las Animas County, Colorado;
<br />
<br />Also the reservoirs and ditches that are connected with the aforesaid canal system., in
<br />accordance with the plats and field notes of said canal and reservoir duly filed in the office of the State
<br />Engineer of the State of Colorado, in the City of Denver, on the 21st day of February, 1908, by T. S.
<br />Holland, D. R. Hindman, and J. S. Grisham, which more specifically describes the location of said
<br />canal and above mentioned reservoirs;
