Dear Mr. Zick:
We have reviewed the second draft of the Feasibility Study for Rehabilitation of Main
Canal Diversion Structure for the New Cache la Poudre Irrigating Company (NCLPIC) which
you recently submitted to us. Based on that review and on our meeting of June 14, we have the
following comments:

1. In the second paragraph, on page I-II, the New Cache la Poudre Reservoir
Company is mentioned but not described nor is there any explanation of the
relationship between the irrigating company and the reservoir company;

2. Page 2-11 suggest you insert the phrase "as reported in the 1992 financial report"
at the end of the last sentence per your own markup;

3. Under "Water Rights", on page 2-IV, storage decrees are not mentioned as was
suggested in our meeting of June 14. If the NCLPIC does not own the storage
rights, this should be explained in the report;

4. On page 3-IV, there is no explanation as to whether "Total Diverted Volume"
includes both direct flow and storage water;

5. The last sentence, in the third paragraph on page I-VII, talks about possible delays
due to a 404 Permit. It was our understanding from our conversation with you
that no 404 Permit would be required for this project;

6. At the top of page 4- VII, it appears as if the total cost per share of stock should
have been given as $14.72 instead of $74.75;
