(970) 867-8591 <br />Fax (970) 867-9653 <br /> <br />ANDERSON, LEE & COMPANY <br /> <br />CERTIFIED PUBLIC ACCOUNTANTS <br /> <br />PARITY CERTIFICATE <br /> <br />The undersigned, pursuant to Exhibit F to the Loan Agreement, dated as of April 1, 1994 <br />(the "Loan Agreement"), between the Colorado Water Resources and Power Development Authority <br />and the City of Fort Morgan, Colorado (the "City"), acting by and through the City of Fort Morgan, <br />Colorado, Waterworks and Distribution Enterprise (the "Enterprise"), executed and delivered in <br />connection with the issuance by the City, acting by and through the Enterprise, of its Water Revenue <br />Refunding and Improvement Bond, Series 1994, in the aggregate principal amount of $2,500,000 (the <br />"Outstanding Bond"), and pursuant to Section A, Sub-section 9a of the Loan Contract and <br />Promissory Note, dated August 7, 1995 (the "Contract"), by and between the State of Colorado for <br />the use and benefit ofthe Department of Natural Resources, Colorado Water Conservation Board, <br />the City and the Enterprise in the principal amount of $5,500,000, hereby certifies in connection with <br />the execution and delivery of the following "Proposed Loans": <br /> <br />1. Colorado Water Resources and Power Development Authority m the <br />aggregate principal amount of$15,000,000; to be issued in 1997; <br /> <br />2. Rural Development in the aggregate principal amount of $4,800,000; <br />to be issued in 1997; <br /> <br />3. Colorado Water Conservation Board in the aggregate principal amount of <br />$4,000,000; to be issued in 1998; <br /> <br />4. Colorado Water Conservation Board in the aggregate principal amount <br />of $4,000,000; to be issued in 1999; <br /> <br />for the purpose of providing financing for the completion of the Colorado Big Thompson pipeline <br />and water treatment project that: <br /> <br />1. The undersigned is a certified public accountant within the meaning of Section <br />12-2-115, Colorado Revised Statutes, as amended, licensed to practice in the <br />State of Colorado who is independent in fact and not an employee or officer <br />of the City. <br /> <br />2. The City is in substantial compliance with all of the covenants of the existing <br />loan agreements. <br /> <br />3. The City is current in the accumulation of all amounts required to be <br />accumulated as required by the existing loan agreements, <br /> <br />American Institute of Certified Public Accountants.
