These issues were
addressed in your April 4, 1996, letter to the DeWeese-Dye Ditch and Reservoir Company.

As stated in the discussion for Task 4 on page 2 of the proposal, GEl will prepare the Feasibility
Report in accordance with the Colorado Water Conservation Board's (CWCB) "Guidelines for
Financial Assistance through the Colorado Water Conservation Board Construction Fund." As
stated in the discussion for Task 5 on page 2 ofthe proposal, we also intend to submit a draft copy
of the report to the CWCB for review and comment to further ensure that the final report is in
compliance with the CWCBts guidelines. In accordance with the guidelines, we planned for our
report to include the following items addressed in your April 4 letter:

A description of the DeWeese-Dye Ditch & Reservoir Company;

A description of the selected alternative;

A detailed financial plan for the project to include the existing financial condition of
the Company, sources of funding for the project (in addition to a CWCB
Construction Fund loan), projected revenues and expenditures over the period of debt
retirement, and the financial impact of the project on shareholders; and

A discussion of permitting, contracts, court actions and any other legal/institutional
requirements for project implementation.

96006\APR10L TRWEG

....,---~rrl NH

Raleigh, NC

Chicago, 1L

Winchester, MA

Carlsbad, CA

San Francisco, CA
