Ms. Honey R. Moschetti, President

-11-

December 19, 1994

4. Final Design of Selected Remedial Concept. Final design of the selected remedial
concept should be started following the completion of conceptual designs. The
objective of the final design would be to develop the documents needed to allow
competitive bidding and construction of the preferred alternative. The work would
include detailed analyses; preparation of detailed construction drawings, technical
specifications, and bidding and contract documents; a final construction cost estimate;
and necessary permitting, including SEO approval.

5. Construction of Selected Remedial Concept. Project bidding and construction would
follow the completion of the final designs, and would include appropriate construction
management and post-construction activities. We would anticipate that the selected
design alternative could be constructed in a single construction season.

The above work could be completed so that the project can be reasonably scheduled to begin
construction as soon as the late summer and fall of 1996. The schedule could be accelerated or
delayed as appropriate to meet project financial constraints and SEO requirements..

GEl is prepared to provide the DeWeese-Dye Ditch and Reservoir Company with the technical
expertise needed to successfully complete this project. More importantly, we understand the
delicate relationship that exists between the financial and technical feasibility of a dam safety
project. We will work closely with you to develop a project concept and implementation plan
that will provide the appropriate balance between dam safety and economic considerations, and
meet state dam safety objectives.

We look forward to the opportunity to continue working with you on this project. If you should
have any questions, please do not hesitate to contact us.

Sincerely,

Brian S.
