<br />(~ <br /> <br />2. PMRCA agrees to: <br /> <br /> <br />a. Allow RMI to complete work described in Phase II agreement. <br /> <br /> <br />b. Receive from CWCB all loan proceeds and to apply proceeds fIrst, to the <br /> <br /> <br />payment of all contractors and suppliers other than RMI and secondly the <br />remainder to RMI. <br />c. Pay RMI the adjusted contract price of $70,222.01. <br />d. Obtain and provide to CWCB lien releases by all contractors\suppliers other <br />than RMI. <br /> <br /> <br />e. Except as agreed by RMI, have in its possession adequate funds to pay RMI <br /> <br /> <br />the total balance due RMI under the above terms upon certifIcation of completion <br /> <br /> <br />by the supervising engineer. <br /> <br /> <br />f. Accept the work performed by RMI and certifIed by the supervising engineer <br /> <br /> <br />as being full and complete performance by RMI under the terms of the Phase II <br /> <br /> <br />agreement and release and discharge RMI from all further duty and obligation <br /> <br /> <br />under that agreement except for warranty of fItness and merchantability. <br /> <br /> <br />g. Disclose to RMI and CWCB, if requested, the names, addressess, dates of <br /> <br /> <br />performance, and amount due of all other persons performing work or providing <br /> <br />materials on this project. <br /> <br />3. PMRCA and RMI jointly agree: <br /> <br />shall serve as supervising engineer. <br /> <br />a. <br />
