DEWEESE...DVE DITCH AND RESERVOIR COMPANY
CANON CITY, COLORADO 81212
,

December 1994

Dear Shareowners,

As 1994 draws to a close, we wish everyone the happiest
of holidays and look forward to seeing you at the annual
meeting scheduled for 7 p.m., Saturday, January 14, 1995
at the Columbian Lodge building in Brookside.

This will be a very important meeting, as we will be dis-
cussing the State Engineerls inspection report of May 27,
1994. The State Engineer will be with us to discuss the
report and the items required by us to improve the safety
of the Dam. Also with us will be a representative of the
engineering firm we've hired to prepare plans and specifi-
cations for the rehabilitation of the Dam. As this will
be a costly endeavor, we will also have a representative
from the Colorado Water Conservation Board--the people we
would borrow money from. Which brings us to an important
item to be discussed: the raising of the cost per share
to cover the costs of the aforementioned items.

It is important that as many of you as possible attend
the annual meeting. In that way, we will all know the
direction we are going and will understand fully the
reason for an increase in the cost per share.

As we review 1994, we all feel satisfied with a very
good water year. We had a completely new Board to start
our year, and when Jim Cunio resigned midsummer, Larry
Cristelli stepped in to help us out. This position and
one other will be up for election.

We look forward to seeing each and everyone of you at
the annual meeting. If you can't attend, please use the
proxy card. Fill it out and send it with someone who will
be attending. When you attend in person, please bring your
notice, proxy and this letter. We will begin at 6:30 with
registering shares and proxies to establish the number of
shares to vote. Try to come early so we can get started
at 7 p.m.

Best regards,

DeWEESE-DYE DITCH AND RESERVOIR COMPANY

Board of Directors
Honey R. Moschetti, Joe Brunetto,
Jack Sparks, Rich Thatcher, Larry Cristelli
