In that capacity, I have reviewed <br />the above-referenced contract and the appendices attached thereto. The enclosed agreement has <br />been signed by Mr. Wade Castor, President of the Board of Directors of the Riverside Irrigation <br />District and attested by its Secretary, Mr. Donald Snider. It is my opinion that these persons <br />have the authority to execute this contract on behalf of the Riverside Irrigation District and to <br />bind the District to the terms and conditions of the contract. The Board of Directors of the <br />Riverside Irrigation District has been duly authorized to enter into the contract as a result of <br />majority vote ofthe qualified electors within the District held pursuant to C.R.S. ~37-41-113(4) <br />on February 3,2006. <br /> <br />In addition, the Board of Directors of the Riverside Irrigation District has validly adopted <br />a resolution approving this contract and that resolution is also enclosed with this letter. In my <br />opinion, there are no provisions of any District rule, policy, o. any state or local law that prevent <br />this contract from binding the Riverside Irrigation District, and it is my opinion that the contract <br />will be valid and binding against the Riverside Irrigation District if entered into by the Colorado <br />Water Conservation Board. <br /> <br />Enclosure <br /> <br /> <br />cc: Riverside Irrigation District, Board of <br /> <br />~ <br />
