<br />December thereafter. No officer may serve more <br />than one term in succession unless expressly <br />provided by at least a three-fourths vote of the <br />trustees present at a regular or special meeting of the <br />board, <br /> <br />SECTION II. President. The president shall be the <br />chief executive officer of the association and shall <br />administer all policies and actions duly passed and <br />adopted by the board as well as the provisions of <br />these bylaws and the association's Articles of <br />Incorporation. <br /> <br />SECTION III, Vice President. The vice president <br />shall assist the president in the performance of all <br />prescribed duties and responsibilities of the president <br />and shall act as president in the absence of the <br />president. <br /> <br />SECTION IV. Secretary-Treasurer. The secretary- <br />treasurer shall keep the minutes of all meetings and <br />conduct all correspondence assigned. The secretary <br />shall keep in contact with the president at all times, <br />and may, by at least two-thirds majority vote of the <br />trustees, receive a salary provided that the secretary- <br />treasurer is not a trustee. The secretary-treasurer <br />shall have custody of all funds and accounts of the <br />association and shall render an accounting of same <br />to the board at its midyear and annual meetings. <br /> <br />SECTION V. Assistant Secretary-Treasurer, The <br />assistant secretary-treasurer shall assist the secretary- <br />treasurer in the performance of all prescribed duties <br />and responsibilities of the secretary-treasurer and <br />shall act as secretary-treasurer in the absence of the <br />secretary-treasurer and shall have the care and <br />custody of such association records and files as shall <br />be deemed appropriate by the secretary-treasurer. <br /> <br />SECTION VI. Resident agent. The board shall by <br />duly executed resolution appoint a Nevada resident <br />agent and identify the location of the association's <br />principal office in the State of Nevada and file, in the <br />required form, such information in the office of the <br />secretary of state in the State of Nevada, A change <br />in the appointed resident agent or the location of the <br />principal office may only be done by executive of a <br />resolution by the board. <br /> <br />" <br /> <br />SECTION VII. Execution of instruments. All <br />checks, drafts and orders for paying of money and all <br />contracts, conveyances, etc., shall be signed in the <br />name of the association by the secretary-treasurer or <br />assistant secretary-treasurer or such persons as the <br />board may from time to time designate for that <br />purpose. <br /> <br />SECTION VlII, Vacancies. When an office of the <br />association becomes vacant, the president wit the <br />approval of the executive committee may appoint a <br />replacement from the same state as the officer being <br />replaced who shall serve until the next annual <br />meeting of the members, <br /> <br />SECTION IX. Compensation. No compensation <br />shall be paid to any officer or member of the <br />association who are not trustees unless expressly <br />provided by at least a two-thirds majority vote of the <br />trustees present at a regular or special meeting of the <br />board. <br /> <br />ARTICLE VI COMMITTEES <br />SECTION I. Standing Committees, The president <br />shall appoint and may remove with or without cause, <br />the following standing committee chairs. The <br />committee chairs will specify in writing to the <br />president. the selected members of their committees. <br /> <br />Each committee must have a least one trustee as a <br />member: Audit, Housing and Arrangements, <br />Exhibits, Program, Spouses Program, *Membership, <br />*Nominations, *Public Affairs and *Resolutions. <br /> <br />*These committees must have one representative <br />from each of the seven Colorado River Basin states. <br /> <br />Such additional committees may be appointed by the <br />president from time to time as the business of the <br />association may require. <br /> <br />, <br /> <br />SECTION II. Executive Committee. The trustees <br />from each of the seven Colorado River Basin states, <br />shall select from among themselves a trustee to serve <br />on the executive committee and the president and <br />vice president shall automatically be ex-officio <br />continuous members of this committee.
