<br />~"...). <br /> <br />AS ADOPTED DECEMBER 9, 1992 <br /> <br />A nonprofit corporation organized pursuant <br />to the laws of the State of Nevada, <br /> <br />ARTICLE I ORGANIZATION <br />SECTION I. The Colorado River Water Users <br />Association, hereinafter called association, is a <br />nonprofit corporation organized pursuant to the laws <br />of the State of Nevada on December 6, 1968, for <br />educational or general charitable and eleemosynary <br />purposes. <br /> <br />SECTION II. The Principal office of the Association <br />shall be located at the offices of the Colorado River <br />Commission of Nevada in Las Vegas, Nevada. The <br />association may have other offices both within and <br />without the State of Nevada as may be specified by <br />the Board of Trustees, hereinafter called board <br /> <br />SECTION III. The Association must have a board <br />and officers and agents as hereinafter prescribed. <br />The board may require any officer or agent to file <br />with the association a satisfactory bond conditioned <br />upon faithful perfonnance of duties. "'Trustees" and <br />''Directors'' shall be synonymous. <br /> <br />SECTION IV. Robert's Rules of Order shall govern <br />all meetings of the trustees, officers and members of <br />the association. <br /> <br />SECTION V. These are the Association's original <br />bylaws as amended November 20, 1969, December <br />12, 1976, December 14, 1984, December 10, 1986, <br />December 7,1989, and December 9, 1992 and which <br />may be further amended by at least a ~thirds <br />majority vote of the trustees present at any regular <br />meeting of the board or a special meeting of the <br />board called specifically for that purpose or by at <br />least ~thirds majority vote of the members present <br />at an annual meeting of the members or a special <br />meeting of the members called specifically for the <br />purpose; provided, however, that quorums were <br />present and that no amendment so made shall alter <br />the qualifications or' terms of office of any incumbent <br />trustee or officer. <br /> <br />/' ~ <br />( 1.1 <br />" <br /> <br />ARTICLE II MEMBERSHIPS <br />SECTION I. Membership shall be divided into three <br />classes as follows: <br />(a) Individual memberships, which may be <br />held by persons interested in the beneficial <br />use of water from the Colorado River <br />System. <br />(b) Organization memberships, which may <br />be held by water users' associations, <br />irrigation districts, canal or ditch <br />companies, reclamation organizations, civic <br />clubs, chambers of commerce and other <br />associations or organizations substantially <br />interested in the use of water from the <br />Colorado River System. <br />(c) Honorary memberships, which may be <br />extended to United States senators and <br />congressmen, governors, state water boards, <br />state farm bureaus and state engineers, and <br />others, subject to the approval of the board. <br /> <br /> <br />ARTICLE III MEETINGS OF MEMBERS <br />SECTION I. Annual meeting of members. An <br />annual meeting of the members shall be held in <br />November or December of each year, or at such other <br />time as may be determined by the board. The <br />purposes of the annual meeting shall be the election <br />of the association's trustees and officers and the <br />~ransaction of such other business as may be properly <br />brought before the meeting. Special meetings of the <br />members may be called by the board when deemed <br />necessary and advisable. No business may be <br />transacted at any annual or special meeting of the <br />members unless a quorum is present. A majority of <br />the number of the association's members shall <br />constitute a quorum. Each member shall have the <br />privileges of the floor and one vote. <br /> <br />SECTION II. Delayed annual meeting. If or any <br />reason the annual meeting of the members shall not <br />be held at the time above designated, such meeting <br />may be called and held as a special meeting and the <br />same proceedings held at an annual meeting. <br /> <br />SECTION III. Place of meeting. Any or all <br />meetings of the members may be held within or <br />without the State of Nevada, and the place of the <br />
