016 ~TERMINATION OF CONTRACf

Because of the unique nature of this study, the qualifications and experience of project
personnel, including project manager, engineers, economists, sociologists and attorneys, is
critical. Therefore, the consultant awarded this study will be required to notify the CWCB
immediately upon any changes or replacement of project staff assigned to this study. The
CWCB may, at its discretion, terminate the contract if it determines that a change in staff
will compromise the integrity or timely accomplishment of the study.

Further, the final contract will also contain the following clause regarding termination:

Any provision of this contract to the contrary notwithstanding, in the
event termination of this contract becomes necessary, in the State's
sole discretion, to comply with any court order concerning State
personal services contracts generally or this contract specifically, this
contract may be terminated by the State immediately upon the giving
of notice to Contractor without further obligation of the State.

g10286.rpl

4

..
