As stated in the <br />permit application, Seneca Coals, Ltd., is a joint venture <br />between Peabody Coal Company ("Peabody") and Western <br />Utility Corporation ("Western"). By an "Assignment of <br />Venture Interest", dated March 31, 1983, (copy enclosed), <br />Western assigned to Peabody all of Western's interests <br />in Seneca Coals (which included Western's interests in <br />the Seneca II Mine and the Permit), and Peabody assumed <br />all obligations of Seneca Coals (which would include all <br />obligations under the Permit). <br />As a consequence of this transaction, all of the assets <br />and obligations of Seneca Coals are now held by Peabody. <br />Since a single entity cannot be a partner with itself, <br />Seneca Coals, as a joint venture and as a separate entity, <br />was dissolved and merged into Peabody by operation of law <br />upon consummation of this transaction. Nonetheless, Peabody <br />has registered the name of Seneca Coals, Ltd., as a trade <br />name (copy of certificate enclosed) and is entitled to <br />conduct business in that name. <br />
