Each of these corporations is a separate legal entity with permits, contracts, employees etc. in its own name and which pays [axes under its own tax identification number. The following are some of the names that have referred to the Western Mobile companies in [lie past: Broderick and Gibbons, Inc. Mineral Reserves, Inc. Mobile Premix, Inc. Mobile Premix Concrete, Inc. Western Mobile Boulder, Inc. Westem Mobile Denver Western Mobile Northern, Inc. Western Mobile Southern, Inc. Western Paving Construction Company Lafarge Corporation finalized the acquisition of Western Mobile and its subsidiaries, effective June 4, 1998. We have begun [o use thf: Lafarge name via our phone messages, letterhead, signs, correspondence, and on our corrlpany trucks and equipment. Over the next year, Lafarge will determine how the corporate structure will be changed, perhaps by merging some of the corpora[iotts together and/or merging one or more of them into Lafarge Corporation. In this interim period before the corporate organizational structure is determined, each of the Western Mobile corporations has been advised by the Lafarge Legal Department to represent itself in the following manner: In Colorado, for purposes of business identity The Western Mobile corporations should continue using their existing federal tax identification numbers and should be identified as Westem Mobile (Northern, Southem, etc.) doing business as (d/b/a) Lafarge. The Westem Mobile corporations will be using the "Lafarge" trade name, but not the "Lafarge Corporation" legal entity identification. For purposes of identifying corporate ownership If a permit or a contract requires that the regulatory authority or other party be notified as to a change in control of the ~~orporation, Western Ivtobile should now be identified as being ow~ted by Lafarge Corporation, not Redland PLC.
