As you may know, in June 2000 when <br />the merger was am3ounced, we advised the staff of the Division of Minerals and Geology <br />(DMG) of the upcoming merger, but a[ that time we were uncertain as to the specific plans <br />for the corporate organization of Battle Mountain Gold Company and Battle Mountain <br />Resources Inc. following completion of the merger process. We advised the DMG staff at <br />[hat time [hat we would update them following conclusion of the merger and make any <br />filings or changes as may be necessary with respect to the current permit. 7'he merger <br />closed on January 10, 2001 and therefore consistent with out commitment and in response <br />to your letter, Battle 1`9ountain Resources Inc. provides you and [he DMG staff the <br />following information. In summary, following the merger, Battle Mountain Gold <br />Company is a wholly owned subsidiary of Newmont Mining Corporation and Battle <br />Mountain Resources Inc. remains a wholly owned subsidiary of Battle Mountain Gold <br />Company. <br />Therefore with regards to your two questions, both Battle Mountain Gold Company and <br />Battle Mountain Resources Inc. will continue to exist as corporations in good standing in <br />the State of Colorado. Battle Mountain Resources Inc. has maintained its corporate <br />existence and will remain the Operator of the mine property. The merger does not alter or <br />compromise the capacity or legal ability of Battle Mountain Resources Inc. to hold the <br />CMLRB permit or affect Battle Mountain Resources lnc. ability to reclaim the thine site <br />pursuant to the permit and applicable State of Colorado regulatory requirements.
