The closing of this transaction occurred on <br />December 6, 1994. <br />Based upon prior discussions and correspondences, most <br />recently the Division's letter of November 1, 1994, we understand <br />that TR-27 becomes automatically effective on the date of <br />closing, which is December 6, 1994, and that no further action is <br />required by the Division.
