D~W~biU,~ ~, <br />1881 9th Street, Suite 201 ININERAI~S ~ ~E~~t.•=• <br />Boulder, Colorado 80302 <br />Re: Agreement for Environmental Consulting Services ("Agreem@nt") <br />Battle Mountain Resources ("BMR") San Luis Facility <br />Dear Ms. Maest: <br />We have been advised that the Colorado Division of Minerals and Geology ("DMG") <br />has selected you and your firm to function as the third parry monitoring contractor for the <br />above referenced facility, Enclosed with this letter you will find a copy of the Agreement, <br />Scope of Work and Memorandum of Understanding ("MOU") which sets forth the <br />framework of the relationship between and among the Company, the agency and the <br />contractor with respect to the conduct of the independent environmental m nitoring which <br />will take place at the San Luis facility. The MOU contemplates that he third party <br />contractor will be retained by the Company at its expense while operating generally under <br />the direction and control of the DMG representative. BMR has worked c osely with Jim <br />Pendleton of the DMG in the development and approval of the enclosed Bement and <br />attached Scope of Work which are intended to implement the terms of they MOU. <br />The Agreement contemplates an attachment identified as the Sampling and <br />Analytical Protocol (TR-006). This technical revision has not yet been approved by DMG, <br />however we would expect approval within the coming week. We will forwar~ the document <br />to you when final approval has been obtained. Please contact me if you need any additional <br />information prior to your receipt of TR-006. <br />The DMG has also notified me that they have selected Core Laboratories as the <br />independent laboratory to be utilized in this third party monitoring arrangement. The <br />Agreement contemplates that your firm will retai^ them in a subcontrac or capacity. I <br />would suggest that we work out all details of the contractual relationship be Ben your firm <br />and BMR prior to contacting Core Laboratories. <br />
