<br />between Quillen Company, a Colorado corpuration, ("Assignor") and
<br />Craig Contracting Corp., a Colorado corporation, ("Assignee").
<br />RECITALS:
<br />A. Assignor and Fountain Mobile Mix, Inc. are parties to a
<br />Purchase, Sale and Lease Agreement, dated August 17, 1981, under the
<br />provisirnrs of which Agreement the leases described in paragraph 1,
<br />below, (hereinafter the "Leases") are io be assigned.
<br />B. Mountain Mobile Mir., lnc. has assigned its rights Lo
<br />acquire the Leases Lo Assignee.
<br />C. None of the Leases can b= assigned without the Lessors'
<br />co:aent, ,.•hich consent cannot, however, be unreasonably withheld.
<br />D. Cor,sen[s ro assignment of the Leases have no[ been
<br />obtained prior to the date hereof.
<br />1,'Otd THEREFORE, (or a valuable consideration the Assignor
<br />heteby~assi~ns, sells, transfers and sets over unto the Assignee all of
<br />its :fight, title and interest in and to the following described Leases
<br />upon the following terms, conditions and limitations:
