<br />THIS INTERGOVERNMENTAL AGREEMENT is made this _ dny of
<br />2000, by and between the City of Central, Colorado ("Central', the City ofBlack Hawk, Colorado
<br />("Black Hawk"),the County of Gilpin, Colorado (tlte "County's and the Blaclc Hawlc-Central City
<br />Sanitation District (the "District") (collectively, the "Parties'.
<br />RECITALS
<br />A. The City of Central has filed an application in the District Court, Water Division No. I,
<br />State of Colorado, in Case No. 92-CW-168.
<br />B. T'heCityofBlackHawkhasfiledapplicationsintheDistrictCourt,WaterDivisionNo.
<br />I, State of Colorado,. in Cases Nos. 92-CW-059 and 94-CW-036.
<br />C. The County has filed an application in which a decree has been entered in the District
<br />Court, Water Division No. 1, State of Colorado, in Case No. 94-C~V-277,
<br />D. AStipnlationhasbeenfiledbyCentral,BlackHawk,andtheCountyinsaidcases,which
<br />stipulation has been signed by the objectors, City ofThomton, City ofNorthglenn, Church Ditch
<br />Company, City of Westminster, Farmers' High Line Canal and Reservoir Company, and Coors
<br />Brewing Company. Said Stipulationispending Courtapprovai. This IntergovernmentalAgreerrient
<br />shrill become effective upon a final order of the Court approving the Stipulation in Cases Nos. 92-
<br />CW-059, 94-CW-036, 92-CW-168 and 94-CW-277.
<br />E. By its ResolutionNo.2000-1 submitted with said Stipulation to the District Court, Water
<br />Division No. 1, State of Colorado, the Districthas consentedto the Stipulation, subject to execution
<br />by the fitnding parties of a fiinding agreement that includes an indemnity or covenant not to sue.the
<br />District in the event the water quality goals and standards as established in the Stipulation are not
<br />met. _ -,
<br />F. This Intergovernmental Agreement is entered into among Central, Black Hawk,.the
<br />County, and theDistrict to give effect to and to fitifil] theparties' obligations under said Stipulation.
<br />Said Stipulation is appended hereto as Exhibit A, which is fit]]y incorporated by this reference.
<br />AGREEMENT
<br />NO~V, THEREFORE, inconsideration ofthe mutual covenants contained herein, and other
<br />good and valuable consideration, the receipt and sufficiency ofwhich are hereby acknowledged, the
<br />parties to this Agreement agree as follows:
<br />1. The definitions set forth in Exhibit A, the Stipulation, are hereby incorporated and'
<br />made a part of this Intergovemmenta] Agreement, and repeated as follows:
