ASSIGNMENT AND TRANSFER OF
<br />FEDERAL COAL LEASE

<br />KNOW ALL MEN BY THESE PRESENTS:
<br />Moon Lake Electric Association, Inc. ("Moon Lake"), a Utah corporation,
<br />for value received does hereby assign, transfer and convey unto Western Fuels-
<br />Utah, Inc. ("Western Fuels-Utah"), a Wyoming corporation, all of its right,
<br />title and interest in and to that Federal Coal Lease identified as C-023703
<br />covering the following described land:

<br />Moon Lake warrants that it holds title to, and by this assignment is con-
<br />•
<br />veying to Western Fuels-Utah, good and marketable title to Lease No. C-023703,
<br />with the exception of restrictions, reservations, limitations, easements and con-
<br />ditions of record, zoning ordinances, and taxes and assessments, both general
<br />and special, which are a lien but not due and payable.
<br />Moon Lake reserves an overriding royalty of five cents per ton of all coal
<br />•
<br />produced from the lease assigned by this instrument.
