<br />THIS DEED, made this Z a day of April, 2013, between VALCO, INC., a Colorado
<br />corporation ( "Grantor "), whose address is 12753 South Parker Road, Suite 203, Parker, CO 80134,
<br />and the CITY OF LAMAR, Colorado, a Colorado municipal corporation ( "Grantee "), whose
<br />address is 102 East Parmenter, Lamar, CO 81052.
<br />WITNESSETH, that Grantor, for and in consideration of Ten Dollars ($10.00) and other
<br />good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, has
<br />granted, bargained, sold and conveyed, and by these presents does grant, bargain, sell, convey and
<br />confirm unto Grantee and its successors and assigns forever all the real property (the "Property ")
<br />situate, lying and being in the County of Prowers, State of Colorado, described as follows:
<br />See Exhibit A attached hereto and incorporated herein by this
<br />reference.
<br />TOGETHER WITH all and singular the hereditaments and appurtenances thereto belonging,
<br />or in anywise appertaining, and the reversion and reversions, remainder and remainders, rents, issues
<br />and profits thereof; and all the estate, right, title, interest, claim and demand whatsoever of Grantor,
<br />either in law or equity, of, in and to the Property.
<br />TO HAVE AND TO HOLD the said premises above bargained and described, with the
<br />appurtenances, unto Grantee, and its successors and assigns forever. Grantor, for itself and its
<br />successors and assigns, does covenant and agree that it shall and will WARRANT AND FOREVER
<br />DEFEND the Property in the quiet and peaceable possession of Grantee, and its successors and
<br />assigns, against all and every person or persons claiming the whole or any part thereof by, through or
<br />under Grantor and not otherwise, EXCEPT AND SUBJECT TO taxes and assessments for the year
<br />2013 and subsequent years, a lien not yet due and payable, and the matters listed on Exhibit B
<br />attached hereto and incorporated herein by this reference.
<br />NO DOCUMENTARY FEE IS REQUIRED PURSUANT TO C.R.S. SECTION 39- 13- 104(1)(a).
