GRACE & Go., a Connecticut corporation, whose address is 7935 <br />East Prentice Avenue, Building 40, Englewood, Colorado 80110, ( "Grace "), for and <br />in consideration of Ten Dollars in hand paid and other valuable consideration, <br />receipt of which is hereby acknowledged, hereby sells and quitclaims to Cclowyo <br />Coal Company, a Delaware general partnership, whose address is 7935 East Prentice <br />Avenue, Duilding 40, Englewood, Colorado 80110 ( "Colowyo "), its successors and <br />assigns forever, all of Grace's right, title, and interest in and to the follow- <br />ing described land situated in Moffat County, Colorado, to -wit: <br />Legal description set forth on Exhibit A attached hereto �•�'�- •' '-,''�� <br />and by this reference made a part hereof <br />together with all its appurtenances. <br />BY ACCEPTANCE of this deed, Colowyo, for itself and its successors and <br />assigns, (i) assumes and agrees to pay and discharge in due course all the li- <br />abilities of Grace existing on the date hereof arising out of, or in any way <br />relating to, said land and (ii) assumes and agrees to perform and fulfill the <br />Obligations to be performed and fulfilled subsequent to the date hereof under <br />all executory contracts, agreements, leases, licenses, commitments and under- <br />takings relating to said land, except any notes secured by a mortgage or deed of <br />trust encumbering said land which are of record as of the date hereof. <br />IN WITNESS WHEREOF, this deed has been executed on December / 1975. <br />W.
