12. No Assignment or sublet. Lessee shall not sell, assign this Agreement or <br />otherwise sublet the Shares without the prior written consent of Lessor, which consent shall be <br />given or withheld in Lessor's sole discretion. Failure to obtain Lessor's consent to any such <br />assignment or sublet shall be considered a breach, shall be under penalty of forfeiture of all of <br />the rights of Lessee under this Agreement, and Lessor may, in its sole option, immediately <br />terminate this Agreement. <br />13. Attorney Fees. Lessee further agrees that upon any breach hereof by Lessee, or if <br />Lessor shall commence a civil action to recover possession or damages or rent or any <br />combination thereof, the prevailing party, whether it is Lessor or Lessee, shall be entitled to its <br />attorney fees and costs. <br />14. Notices.
