<br />SHERIFF'S CONFIRMATION DEED
<br />THIS DEED is made this 21" day of December, 2012 ,between Dominic Mattivi, Jr., as the
<br />Sheriff of the County of Ouray, Colorado, and KEYSTONE PORTFOLIO MANAGEMENT, LP,
<br />a Texas limited partnership authorized to do business in the State of Colorado, being the holder of
<br />the certificate of purchase, whose legal address is 13020 FM 1641, Forney, Texas, 75126, Grantee.
<br />WHEREAS, Keystone Portfolio Management, LP, did, in the District Court for the County
<br />of Ouray, Colorado, Case Number 2011 CV 34, substitute as party Plaintiff for Farmers State Bank
<br />ofNorthem Missouri, N.A., which bank had obtained a Judgment and Decree against Horizon Ranch
<br />Limited Partnership, a/k/a Horizon Ranch Ltd. Partnership, a/k/a Horizon Ranch Ltd., a Texas
<br />Partnership, a/k/a Horizon Ranch L.P.; Provider Meds. L.P.; Randolph Gillum; Meadows
<br />Management LLC; and which disposed of mesne interests of other parties. The Judgment was in the
<br />amount of $4,348,898.60, within interest at the rate of 9 percent per annum, and the Decree allowed
<br />payment of all fees, costs and expenses incurred in connection with the sale, advances and costs
<br />allowed by statute, including taxes, insurance and attorneys fees. The Decree declared the directive
<br />to the Sheriff to be a writ of special execution commanding the Sheriff to execute the Decree,
<br />without levy and requiring no security or indemnity bond.
<br />WHEREAS, by virtue of said Judgment and Decree, and pursuant to the directions therein,
<br />after public notice had been given of the time and place of the sale as required by law, the said
<br />property herein described was offered for sale and sold according to said notice, and a certificate of
<br />purchase was made and recorded in the office of the County Clerk and Recorder, and
<br />WHEREAS, all periods of redemption have expired;
<br />NOW, THEREFORE, I, Dominic Mattivi, Jr., Sheriff of the County of Ouray, Colorado, in
<br />consideration of the premises, confirm the sale and sell and convey to grantee the property in Ouray
<br />County, Colorado, as described in Exhibit A hereto.
<br />TO HAVE AND TO HOLD the same, with all appurtenances, forever.
