3.C. Acre Foot Charge. The purchase price for water purchased by CC &V shall be <br />the currently effective rate for non - potable water for customers of CSU on the date each water <br />order is placed pursuant to paragraph 4. CC &V and CSU recognize and agree that the rate <br />may be adjusted by the City Council periodically in the future. The rate is currently $313.33 <br />per acre foot. CSU shall bill CC &V for all water purchased at the end of the month in which <br />the water was delivered. The purchase price shall be due and payable 30 days after the date of <br />the billing. <br />4. Procedure for Placing Water Orders. The parties agree that the sale of water to CC &V <br />will take place within the supply limitation of the CSU water system, and that those limitations <br />vary by season. The "winter season" is defined as the time from October 1 - April 30 of each <br />year. The "summer season" is defined as the time from May 1 - September 30 of each year. <br />Requests for water deliveries to CC &V shall be made as follows: <br />4.A. Request for water to be supplied during the summer season. For water to be <br />delivered during the summer season, CC &V shall give CSU at least 30 days written notice of <br />an anticipated need for a water delivery which includes a schedule and anticipated volumes for <br />the delivery. Within 15 days of receiving said notice, CSU shall give CC &V a determination <br />stating whether the water requested will be available. Within 10 days of receiving said <br />determination, CC &V shall place a written order for whatever portion of the available water <br />should be delivered which includes a schedule and anticipated volumes for the delivery. <br />4.B. Request for water to be suuolied during the winter season. For any water to be <br />delivered during an upcoming winter season, CC&V shall give CSU written notice of an <br />anticipated need for a water delivery by September 1 which includes a schedule and anticipated <br />volume for the delivery. By September 15, CSU shall give CC &V a determination stating <br />whether the water requested will be available. By September 22, CC &V shall place a written <br />for the delivery. <br />4.C. Mutual Cooperation and Flexibility. The water order procedure set forth above <br />expresses the lead times within which the parties are contractually obligated to handle requests <br />for water deliveries to CC &V. The parties agree to work together in good faith to handle all <br />requests for water deliveries in the most expedient manner reasonably possible. Therefore, for <br />example, if CC&V notifies CSU of a need for water with less lead time than provided in <br />subparagraphs A and B above, CSU will make reasonable efforts to respond (although not <br />contractually obligated to do so) as if the request was timely. <br />4.D. Water delivery. Following each water order placed as described above, CSU <br />shall deliver the water to CC &V in accordance with the water order's delivery schedule, <br />subject to the conditions and limitations hereunder. <br />71my81er\ajrkc&v water purchm agmme& dean <br />
