<br />SPECIAL WARRANTY DEED
<br />This SPECIAL WARRANTY DEED, made thisZ2"day of March 2012, by and
<br />between Sage Creek Holdings, LLC, a Delaware limited liability company, whose address is 701
<br />Market Street, St. Louis, MO 36101 ( "Grantor "), and Routt County, Colorado, a body corporate
<br />and politic, whose address is 522 Lincoln Ave., P.O. Box 773598, Steamboat Springs, CO 80477
<br />( "Grantee ").
<br />Grantor, for and in consideration of the sum of Ten and no /100 Dollars ($10.00) and
<br />other good and valuable consideration, the receipt and sufficiency of which is hereby
<br />acknowledged, has granted, bargained, sold and conveyed, and by these presents does grant,
<br />bargain, sell, convey and confirm unto Grantee, its successors and assigns forever, all the real
<br />property together with improvements, if any, situate, lying and being in the County of Routt,
<br />State of Colorado, as more particularly described on Exhibit A attached hereto and incorporated
<br />herein by reference (the "Property").
<br />TOGETHER with all and singular the hereditaments and appurtenances thereto
<br />belonging, or in anywise appertaining, and the reversions, remainders, rents, issues and profits
<br />thereof; and all the estate, right, title, interest, claim and demand whatsoever of the Grantor,
<br />either in law or in equity, of, in and to the above bargained premises, with the hereditaments and
<br />appurtenances.
<br />TO HAVE AND TO HOLD the Property above bargained and described, with the
<br />appurtenances unto Grantee, its successors and assigns forever. And Grantor, for itself, its
<br />successors and assigns, covenants and agrees that Grantor shall and will WARRANT AND
<br />FOREVER DEFEND the above bargained premises in the quiet and peaceable possession of
<br />Grantee, its successors and assigns, against all and every person or persons lawfully claiming or
<br />to claim the whole or any part thereof, by, through, or under Grantor, except for all matters of
<br />record.
<br />This conveyance is made by Grantor and accepted by Grantee subject to the exceptions
<br />set forth on Exhibit B attached hereto and incorporated herein by reference, and all exceptions,
<br />reservations, rights-of-way, easements, restrictions, leases and other matters of record.
