R <br /> SERVICE AND EQUIPMENT RENTAL AGREEMENT <br /> THIS AGREEMENT made this 10 day of Juno, 1993 between <br /> MID-CONTINENT RESOURCES, INC. (RESOURCES) and PITKIN IRON <br /> CORPORATION (PITKIN), <br /> WITNESSETH: <br /> WHEREAS, RESOURCES is in the process of reclaiming <br /> disturbed areas included in Mined Land Reclamation Division Permit <br /> No. C81017 in Pitkin and Garfield Counties and PITKIN has agreed to <br /> continue resisting in such work according to the terms hereof, <br /> WHEREAS, RESOURCES is in Chapter 11 Bankruptcy in the <br /> United States District Bankruptcy Court at Denver, Colorado, the <br /> work and reclamation funding to be under the jurisdiction and <br /> subject to the approval of the Bankruptcy Court, <br /> NOW THEREFORE IN CONSIDERATION OF THE PREMISES IT IS <br /> AGREED AS FOLLOWS: <br /> 1. PITKIN agrees to carry on it's payroll such <br /> employees as RESOURCES designates to perform reclamation work and <br /> activities related thereto, including compliance with MLRD permit <br /> conditions. Provided, that PITKIN may decline to provide <br /> employment coverage as to employees who tail, according to PITKIN's <br /> judgment, to meet legal requirements, or Whose employment or <br /> activities are beyond or outside the scope of PITKIN's workmen <br /> compensation coverage. <br /> 2. PITKIN shall bill RESOURCES on or before the. 10th <br /> day of each month for the preceding month's payroll costs, <br /> including social security, workmens compensation, unemployment <br /> compensation, health insurance, where provided, and all other costs <br /> attributable to such employees, plus a service charge of 15* of the <br /> amount thereof. <br /> 3. RESOURCES shall also reimburse PITKIN for any <br /> incidental costs connected with such employment such as parts, <br /> fuel, approved travel expense, fees, and the like Which are <br /> incurred under the direction of RESOURCES plus 154 thereof as a <br /> service charge. <br /> 4. PITKIN will rent from the date hereof until work <br /> ceases in the Fall of 1993, on or about November 15th, the <br /> equipment described on Exhibit "A" attached hereto and by reference <br /> incorporated herein for a base charge of $3,700.00 per month, plus <br /> surcharges for excessive use as described on Exhibit "A" . <br /> 5. Invoices with breakdowns as required by RESOURCES <br />
