Box 1161 <br />Lamar, Colorado 81052 <br />(719) 336 -9696 <br />Mr. Karl Nyquist <br />GP Aggregates, LLC <br />7991 Shaffer Parkway - Suite 200 <br />Littleton, CO 80127 <br />Subject: Agreement between Lower Arkansas Water Management Association and GP <br />Aggregates, LLC <br />Dear Mr. Nyquist: <br />January 20, 2012 <br />This letter specifies the agreement between the Lower Arkansas Water Management <br />Association (LAWMA) and GP Aggregates, LLC regarding the GP Aggregates, LLC substitute <br />water supply plan (SWSP) for the West Farm Pit Gravel Pit (M -08 -078). LAWMA has <br />approved the use of 38 LAWMA shares owned by GP Aggregates, LLC to provide replacements <br />of depletions to the Arkansas River from the operation of the West Farm Pit located in Sec. 33, <br />T. 22S, R. 46W in accordance with the SWSP. GP Aggregates, LLC agrees that water use under <br />the SWSP will not exceed 30.8 acre -feet per year. <br />At the anticipated 2012 share yield of 0.85 acre -foot per share, LAWMA agrees to <br />provide replacement water, including transit losses, in an amount up to 30.8 acre -feet per year for <br />replacement of stream depletions caused by the water uses at the West Farm Pit that are included <br />in the SWSP. If the LAWMA share yield changes, then the number of shares required herein <br />may be amended as needed. Actual annual amounts of replacement water will be provided <br />according to the stream depletion schedule submitted to the State Engineer with the SWSP <br />application, or as approved by the plan that is in effect. LAWMA agrees that if it does not or <br />cannot provide replacement by other means, it will ensure that water from those sources it owns, <br />as identified in the attached table will be reserved and committed for replacement of the gravel <br />pits depletions. LAWMA commits to supplying the required water until either the State <br />Engineer authorizes a different source of replacement water or the gravel pit depletions are <br />covered in an augmentation plan decreed by the Water Court. <br />If you agree to the terms of this letter, please so indicate by signing below and returning <br />this letter to me.
