<br />ADDENDUM TO MINING LEASE
<br />THIS ADDENDUM, made and entered into this /11`' day of
<br />, 1977, by and between SAN MIGUEL POWER ASSOCIATION,
<br />INC. ( "Lessor ") and PEABODY COAL COMPANY, a Delaware Corporation
<br />( "Lessee ").
<br />RECITALS
<br />A. Lessor is the original lessor under that certain
<br />mining lease dated May 21, 1956, between Lessor and Edna Coal Company
<br />as Lessee, as amended from time to time to the date hereof (the
<br />"Lease ").

<br />B. Lessee is the current Lessee, by assignment, under
<br />C. The parties wish to amend certain of the terms and
<br />conditions of the Lease.
<br />AGREEMENT
<br />1. The legal description of the leased premises
<br />contained in Paragraph 1 of the Lease is hereby replaced in its
<br />entirety by the following substituted legal description:
