<br />THIS INDENTURE, Made and entered into this 21st day of May, 1956,
<br />by and batween SAN MIGUBL POWER ASSOCIATION, INC., hereinafter called lessor,
<br />and EDNA COAL COMPANY, a general partnership, hereinafter called lessee,
<br />WITNESSBTH:
<br />That in consideration of the sum of One Dollar, receipt whereof is
<br />hereby acknowledged by lessee, and in further consideration of the mutual
<br />covenants and provisions hereinafter set forth, the parties do hereby mutually
<br />agree as follows:
<br />1. Lessor does hereby lease and demise to lessee, its successors or
<br />assigns, the exclusive right to prospect and mine the following described land
<br />by underground, strip or other mining methods, and to remove therefrom and mine
<br />any and all coal or other minerals, together with the right to process, stock-
<br />pile, remove, prepare for market, and sell all coal and other minerals found upon
<br />and under said premises; which said premises are located in Montrose County,
<br />Colorado, and are described as follows, to -wit:
<br />Lot 2, Section 6, T 46N, R 15W and SASE* Section 31, T 47N�/'-<t: -4-

<br />Lot 3, and SEENW4 of Section 6, T 46N,R15W, 1,4% P.M.
<br />WINE of Section 36, T 47N R 16W, N.M.P.M.

<br />2. Lessee shall have the sole right to deem where such mining and
<br />prospecting operations shall commence and the method and locations where such
<br />mining shall continue, and shall have the right to construct building', tipples
<br />or other structures, and to make excavations, openings, stock•.piles, dumps,
<br />ditches, drains, roads and other improvements upon described lands, including
<br />the use and disposal of sufficient water in said mining and processing operations,
<br />and to place such machinery thereon as lessee may deem necessary for efficient
<br />prospecting, drilling, blasting, excavating, selling and shipping coal or other
<br />minerals on and from said lands, with the right in Edna Coal Company to remove all
