5. Record Keeping Requirements. The CDNR/DMG shall maintain a complete file of all records, <br /> documents, communications,and other materials which pertain to this Interagency Contract for a period of <br /> six(6)years from the date of final payment under this Interagency Contract,unless the CDPHE requests in <br /> writing that those records, documents, communications, and other materials be retained by the CDNR/DMG <br /> for a longer period of time. <br /> 6. Performance Monitoring. The CDNR/DMG shall permit authorized agents of the CDPHE or the federal <br /> government to access its files and monitor its performance under this Interagency Contract for auditing <br /> purposes. <br /> 7. Assignment. Except as may otherwise be provided for in this Interagency Contract,the rights,duties, and <br /> obligations of the CDNR/DMG shall not be assigned,delegated,subcontracted, or otherwise transferred <br /> except with the prior, express,written consent of the CDPHE. All assignees,delegates, subcontractors,or <br /> other transferees of the CDNR/DMG shall be subject to the terms and conditions of this Interagency <br /> Contract. <br /> 8. Benefit. Except as may otherwise be provided for in this Interagency Contract,this Interagency Contract <br /> shall only inure to the benefit of, and be binding upon,the parties hereto and their respective successors and <br /> assigns. No third party beneficiary rights or benefits of any kind are expressly or implicitly created, <br /> established,conveyed, or otherwise provided for herein. <br /> 9. Notice. For the purposes of this Interagency Contract,the persons named below are designated as <br /> representatives of the parties. All notices which are required or permitted to be given by the parties under <br /> this Interagency Contract shall be given by certified mail,return receipt requested, and addressed to the <br /> representatives listed below. Problem Resolution. Any failure of either party to perform in accordance with the terms and conditions of <br /> this Interagency Contract shall constitute a material breach of this Interagency Contract. An initial attempt <br /> to resolve a dispute concerning the performance of either party under this Interagency Contract shall be <br /> made at the division level. If resolution of the dispute at the division level is unsuccessful,then the dispute <br /> shall be referred to senior management staff designated by the CDPHE and the CDNR/DMG. If resolution <br /> is unsuccessful at the senior management level,then the dispute shall be referred to the respective executive <br /> directors of the CDPHE and the CDNR/DMG. If resolution is unsuccessful at the executive director level, <br /> then the dispute shall be submitted in writing by both parties to the State Controller,whose decision on the <br /> dispute shall be final. <br /> 11. Termination for Convenience. Each party shall have the right to terminate this Interagency Contract by <br /> giving the other party thirty(30)calendar days written notice of that parry's intent to terminate this <br /> Interagency Contract. If written notice is so given,then this Interagency Contract shall terminate at the.end <br /> of the thirty(30)calender days, and the liabilities of the parties hereunder for further performance of the <br /> terms and conditions of this Interagency Contract shall thereupon cease. However,the parties shall not be <br /> released from their respective performance obligations under this Interagency Contract until the effective <br /> Page 5 of 10 <br />
