SUBCONTRACTORNENDOR <br />i' <br />FINAL LIEN AND CLAIM RELEASE <br />(May 2004 Edition) <br />The undersigned hereby represents he has full authorization to execute this Final. <br />Lien and Claim Release on behalf of the entity indicated, hereinafter referred to as the <br />" Subcontractor/Vendor." <br />Subcontractor/Vendor has furnished services, labor, materials, and equipment <br />hereinafter referred to as the "Work," to the general contracting entity described ( "Contractor") <br />in connection with improvements made to the Project identified below prior to the date indicated <br />below, hereinafter referred to as the "Release Date." <br />This Final Lien and Claim Release is being executed to obtain a final payment, <br />which includes retention. Subcontractor/Vendor certifies it has been paid in full, has no claims <br />or demands against Contractor, Contractor's sureties, Owner or the Project arising out of the <br />Work, and Subcontractor agrees to waive and release all liens, claims and demands for labor, <br />equipment or services for Work performed through the Release Date including, but not limited <br />to, any and all amounts for changes in the sequence in the Work, delays, disruptions, overhead <br />and any other impact costs relating to the Work. Subcontractor/Vendor certifies it has paid or <br />will pay all of its employees, subcontractors and suppliers who furnished goods or services on <br />the Project. <br />Subcontractor/Vendor agrees to indemnity and hold Contractor harmless for all <br />costs and expenses, including attorneys' fees, arising out of Subcontractor/Vendor's negligence <br />or Subcontract/Vendor's failure to pay its employees, subcontractors and suppliers who <br />furnished goods or services on the Project. <br />CONTRACTOR <br />Release Date: <br />
